CorpDev.Ai Terms of Service

These Terms of Service (“Terms”) govern your use of CorpDev.Ai’s products and services, including web applications, user interfaces, APIs, and related software (collectively, the “Services”), which are provided by DealVerse AI LLC (dba “CorpDev.Ai,” “we,” “us,” or “our”). By accessing or using the Services, you (“Customer,” “you,” or “your”) agree to be bound by these Terms.

1. Definitions

  • “Services”: CorpDev.Ai’s online platform, software, APIs, and tools developed for corporate development activities, including M&A, strategic partnerships, investments, and other business development purposes.
  • “Customer Content”: Any input, data, documents, or other content provided by you or your Authorized Users in the course of using the Services.
  • “Output”: AI-generated content, insights, or analysis produced by the Services based on Customer Content or other data.
  • “Authorized Users”: Employees, contractors, or third parties you authorize to access and use the Services on your behalf and in compliance with these Terms.

2. Use of Services

2.1 Permitted Use

  1. Business Purposes: You may access and use the Services internally for legitimate corporate development initiatives, which may include:
    • M&A Activities: Target identification, strategic analysis, due diligence, and post-merger integration planning.
    • Strategic Partnerships: Evaluating joint venture or alliance opportunities.
    • Investments: Sourcing and analyzing investment targets such as VC or PE deals.
    • Business Development: Exploring market expansion, assessing competition, and identifying growth strategies.
  2. Authorized Stakeholders: You may permit access for Authorized Users directly involved in your corporate development process, such as:
    • Target/Acquirer Representatives
    • Investment Bankers
    • Advisers and Consultants
    • Investors
    • Lawyers and Legal Counsel
    • Other Stakeholders (e.g., external auditors or tax advisers)
  3. Consultant and Advisory Firm Use:
    • Consultants or advisory firms may purchase a subscription and allocate seats to their clients or relevant stakeholders, provided access is not extended to direct competitors of CorpDev.Ai.
  4. API Access (If Applicable): Certain subscription tiers may offer API access, subject to usage limits outlined in your Order Form or pricing documentation.

2.2 Prohibited Use

  • Reverse Engineer: Decompile, disassemble, or otherwise attempt to discover the Services’ source code or underlying technology.
  • Copy or Replicate: Use the Services’ UI, functionality, or logic to create competing products or services.
  • Competing Services: Use the Output or any part of the Services to develop or train a model that competes with CorpDev.Ai.
  • Shared Credentials: Share individual login credentials between multiple people or resell or lease access to the Services.
  • Competitor Access: Allow direct competitors of CorpDev.Ai to access the Services.
  • Illegal Activities: Use the Services for unlawful activities or in violation of applicable laws.
  • Circumvent Security: Attempt to bypass rate limits, usage restrictions, or security features implemented by CorpDev.Ai.

3. Subscription Plans and Usage Limits

3.1 Subscription Plans

  • Plan Tiers: Subscriptions may vary by features, number of Authorized Users, volume of data (e.g., companies analyzed), or other metrics.
  • Plan Details: The specific features and usage limits are provided in your Order Form or our published pricing sheets.

3.2 Usage Restrictions

  • Compliance with Limits: If you exceed the usage limits of your subscription plan, CorpDev.Ai may suspend service or charge you additional fees.
  • Price Changes: We may change subscription prices with at least 30 days’ prior notice. Any increase takes effect on your next renewal, allowing you to cancel if you do not agree.

4. Intellectual Property

4.1 CorpDev.Ai’s IP

CorpDev.Ai retains all rights, title, and interest in and to the Services, including software, models, and proprietary technology. Nothing in these Terms grants you any rights to CorpDev.Ai’s IP beyond what is explicitly stated.

4.2 Customer Content and Output

  1. Customer Content: You retain full ownership of all Customer Content. CorpDev.Ai may process such Content only as necessary to provide the Services.
  2. Output: You own any Output generated by the Services from your Input, except you may not use it to create or offer competing services.
  3. Anonymized/Aggregated Data: CorpDev.Ai may use anonymized or aggregated data derived from your usage (including Output), solely for improving and enhancing the Services, provided no confidential or identifying details of individual customers are disclosed.

5. Confidentiality and Data Security

5.1 Confidential Information

  • Definition: “Confidential Information” includes non-public information that is designated as confidential or that should reasonably be understood as confidential based on its nature.
  • Obligations: Each party will:
    • Use the other party’s Confidential Information only for fulfilling its obligations under these Terms.
    • Not disclose Confidential Information to third parties without the disclosing party’s consent.
    • Protect Confidential Information with at least reasonable care.

5.2 Security Measures

  • Data Protection: CorpDev.Ai employs industry-standard security procedures (e.g., encryption in transit and at rest, access controls, incident response plans) to safeguard Customer Content.
  • Privacy Compliance: We adhere to applicable data protection laws (e.g., GDPR, CCPA) regarding any personal data processed through the Services.

6. Payment and Billing

  • Payment Obligations: You agree to pay all fees as per your subscription plan. Unless otherwise stated, all fees are non-refundable.
  • Taxes: Prices exclude applicable taxes, which are your responsibility.
  • Late Payments: Overdue amounts may incur interest at 1.5% per month or the maximum allowed by law. We may suspend your account for unresolved payment issues after notice.

7. Warranties and Disclaimers

  1. Services Provided “As Is”: Except as otherwise set out in these Terms, CorpDev.Ai provides the Services on an “as is” and “as available” basis.
  2. No Guarantee of Accuracy: The Output generated by our AI models may contain inaccuracies. You are responsible for verifying its suitability for your business decisions.
  3. No Other Warranties: To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

  1. Exclusion of Certain Damages: To the fullest extent allowed by law, in no event shall either party be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or revenue.
  2. Liability Cap: CorpDev.Ai’s total cumulative liability for all claims arising under or relating to these Terms will not exceed the total amount paid by you to CorpDev.Ai in the twelve (12) months preceding the event giving rise to the claim.
  3. Jurisdictional Limitations: Some jurisdictions do not allow the limitation of certain warranties or liabilities, so some or all of the disclaimers above may not apply to you.

9. Indemnification

Customer Indemnity: You agree to indemnify and hold harmless CorpDev.Ai from and against any third-party claims, damages, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your misuse of the Services.
  • Your violation of any law or regulation.
  • Claims alleging that your Customer Content infringes any intellectual property or privacy rights.

10. Term and Termination

  • Term: These Terms commence on the date you first access the Services and continue until terminated by either party or upon expiration of your subscription.
  • Termination for Breach: Either party may terminate if the other materially breaches these Terms and fails to cure such breach within 30 days of receiving notice.
  • Effect of Termination: Upon termination, you must cease using the Services. We will delete your Customer Content within 30 days unless legally required to retain it.

11. Dispute Resolution

  • Governing Law: These Terms are governed by and construed under the laws of the State of Massachusetts, without regard to its conflict of law principles.
  • Venue: Any legal suit or proceeding shall be brought exclusively in the state or federal courts located in Boston, Massachusetts.
  • Waiver of Class Actions: You agree to resolve any disputes on an individual basis and waive any right to bring or join class actions, consolidated actions, or representative actions.

12. Changes to These Terms

  • Modifications: We may update these Terms from time to time to reflect changes in our business, the law, or for other reasons.
  • Notice: If we make material changes, we will provide at least 30 days’ notice (e.g., via email or in-product notification).
  • Acceptance: Your continued use of the Services after the effective date of any updated Terms constitutes acceptance of the revised Terms.

13. Miscellaneous

  1. Assignment: You may assign these Terms in connection with a change of control, merger, acquisition, or corporate restructuring event, without prior consent but with written notice to CorpDev.Ai.
  2. Entire Agreement: These Terms (together with any applicable Order Form) constitute the entire agreement between you and CorpDev.Ai and supersede all prior agreements or understandings.
  3. Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
  4. Force Majeure: Neither party will be liable for delays or failures caused by events beyond their reasonable control (e.g., natural disasters, government acts, or internet disruptions).
  5. No Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement.
